HEINZ GOLDEN KEYSTONE GAME

1) ELIGIBILITY: Heinz "Golden Keystone Game" is not open to the general public. Game is open to all persons who are at least 18 years of age (at the time of entry), and are legal residents of the (50) United States or the District of Columbia, and employed by a Foodservice Operator at the time of entry. A Foodservice Operator is defined as any individual who owns or is a chef or management personnel of an establishment that prepares and generally serves food, snacks, and beverages away from home. Entry is made on behalf of Foodservice Operator and prize will be awarded in the name of Foodservice Operator. Employees, directors and officers, and their immediate families (spouse, parents, children, siblings, and their respective spouses), and the respective household members, of Sponsor, its parent company, their respective affiliates, subsidiaries, divisions, agents, distributors, individuals engaged in the development, production or distribution of Game materials, advertising and promotion agencies, and Administrator, are not eligible to participate. Game is subject to all federal, state, and local laws. U.S. law governs this Promotion. Game is void in APO/FPOs & where prohibited, taxed or restricted by law. Sponsor reserves the right to disqualify participants who violate these Official Rules or interfere with this Game in any manner. If a participant is disqualified, Sponsor reserves the right to terminate that participant's eligibility to participate in the Game.

2) HOW TO PLAY: The "Promotion Period" for the Golden Keystone Game starts on or about January 1, 2008 and ends on March 31, 2008. Prizes are randomly seeded among cases of Heinz Pouch Pack Ketchup shipped to foodservice operators during the Promotion Period. When participant opens a case of Heinz Pouch Pack Ketchup, if participant is a potential winner, he or she will find a Golden Keystone Game Chance (hereinafter referred to as Game Chance) marked with a secret code, specially labeled ketchup pouch packs, and a letter declaring participant a potential winner. Participants must then go to: www.heinzgoldenkeystone.com at any time during the "Prize Claim Period", which is January 1, 2008 through June 30, 2008, and click on the section titled "Found a Golden Keystone?" Participant will be prompted to enter the "secret code", which is found on the Game Chance. Participants will be notified instantly what prize the Foodservice Operator has won (subject to verification), but will not instantly receive a prize. After entering the code, Participant will then be confirmed a winner and given direction on how to claim his/her prize on behalf of the Foodservice Operator. If your Heinz Pouch Pack Ketchup case does not contain the following items; Game Chance, specially labeled pouch pack(s), and letter, all as described above, it is not a potential winner.

To receive a Game Chance without purchase, send a 3 x 5 card with your name, title, and complete address, to: Heinz Golden Keystone Game Chance, P.O. Box 5260, W. Clinton, IA, 52736-5260. Limit one Game Chance request per postmarked outer mailing envelope. VT residents may omit return postage. Game Chance requests must be postmarked within the Promotion Period, and received not more than seven (7) days thereafter. Participant will be notified by mail if the foodservice operator is a potential winner. If Foodservice Operator is a potential winner Participant must go to: www.heinzgoldenkeystone.com anytime within the Prize Claim Period to claim the prize. Participant should then click on the section titled "Found a Golden Keystone?" Participant will be prompted to enter his/her "secret code" found on the Game Chance. Participants will be notified instantly what prize the Foodservice Operator has won (subject to verification), but will not instantly receive a prize. After entering the code, Foodservice Operator will then be confirmed a winner and given direction on how to claim his/her prize on behalf of the Foodservice Operator. Sponsor and its agencies are not responsible for lost, late, misdirected, mutilated, incomplete, damaged, illegible or postage-due requests/prize claims or mail. No metered mail accepted.

3. PRIZES/ODDS: Twenty (20) Grand Prizes - Each winning Food Service Operator will receive a supply of 200 cases of Heinz Pouch Pack (HNA# 513700) Ketchup, to be supplied as a credit, through the distributor where the winning case was purchased (approximate retail value of $4,000). Prize must be claimed from the distributor between July 1, 2008 and June 30, 2009. Total odds of winning a prize are one (1) in 13,667. Taxes and expenses not specified relating to acceptance and use of prize are the responsibility of the winner. Prize is not transferable. Sponsor reserves the right to substitute a prize of equal or greater value in its discretion.

4. TO VERIFY AND REDEEM: Prize claims are subject to official verification and compliance with these Official Rules. To claim one of the 20 prizes, you must go online to www.heinzgoldenkeystone.com and enter the Foodservice Operator's complete corporate name, complete address with zip code, date of birth and daytime phone number along with the requested information including the secret code found on the Game Chance. An authorized signatory for Foodservice Operator will be required to sign and return an affidavit of eligibility, which must also be signed by a Notary Public. An authorized signatory for Food Service Operator will be required to present the winning Game Chance to the Notary Public for verification. In addition to the affidavit, a liability release and, where legal, a publicity release on behalf of Foodservice Operator must be returned within fourteen (14) days of prize notification or prize may be forfeited. If prize notification, actual prize, or any attempted notification is returned as undeliverable, prize may be forfeited. Allow 6-8 weeks after receipt of verified claim for prize collection instructions/coupons. Prize must be redeemed between July 1, 2008 and June 30,2009, from the distributor where the winning case was originally purchased. Unclaimed/unredeemed prizes will not be awarded.

5. AGREEMENT TO OFFICIAL RULES/RELEASES: Winning Foodservice Operator and all participants hereby: (1) agree to abide by and be bound by these Official Rules and all decisions of the independent judging organization, which are final and binding in all respects; (2) release and agree to hold harmless H.J. Heinz Company L.P., its agencies, their respective parents, affiliates, and subsidiaries, and the directors, officers, agents, representatives, shareholders and employees of any of the above entities, and any successors and/or assigns of any of the above entities ("Promotional Parties"), from any and all liability arising (directly or indirectly, in whole or in part) from participation in the Game or the acceptance, receipt, possession or use/misuse of any Prize. By accepting a prize, winning Foodservice Operator agrees to the Sponsor's use of its name, address, photograph or likeness for advertising or publicity purposes, and any and all rights to said use, without notice or further compensation, except where prohibited by law.

6. ADDITIONAL TERMS: VERIFICATION: All Game Chances are subject to verification. Game Chances are void and will be rejected if not obtained through authorized, legitimate channels or if any part is reproduced, illegible, mutilated, forged, altered, counterfeited or tampered with in any way, or if any Game Chance contains printing, production, typographical, technological, mechanical, or other errors or fraud. If because of error, fraud (or for any other reason) there are more valid prize claims than prizes offered as stated in these Official Rules, a random drawing will be held from among all eligible claimants in such prize category to award only the number of prizes in such prize category as stated in these Official Rules. In no event will Sponsor be obligated to award more than the stated number of prizes. Neither Sponsor, Administrator nor their agents are responsible for lost, interrupted or unavailable network, server, satellite, or other connections, availability or accessibility; or miscommunications, failed computer, telephone or cable transmissions, lines, or technical failure; or jumbled, scrambled, delayed, or misdirected transmissions, computer hardware or software malfunctions, failures or difficulties; or any other errors of any kind whether human, mechanical, electronic or network or the incorrect or inaccurate capture of entry or other information or the failure to capture, or loss of, any such information. Any attempt to defraud Sponsor or the official judging agency in any way will be prosecuted to the fullest extent of the law. Persons who tamper with or abuse any aspect of the Sweepstakes, as solely determined by the Sponsor, will be disqualified, and Sponsor reserves the right to terminate such entrant's eligibility. Should any portion of the Sweepstakes be, in Sponsor's sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of entries, Sponsor reserves the right at its sole discretion to modify, suspend or terminate the Sweepstakes, and select a winner as deemed fair and appropriate by Sponsor. Sponsor is not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes, and assumes no responsibility for any error, interruption, deletion, defect, delay in operation, or transmission, communications line failure, technical failure, theft or destruction, or unauthorized use in connection with the purchase transaction entry portion or any other portion of the Sweepstakes.

In no event will Sponsor, its parent, affiliates, subsidiaries and related companies, their respective advertising or promotion agencies or any of their respective Officers, Directors, Employees, Representatives and agents, be responsible or liable for any damages or losses of any kind, including direct, indirect, incidental, consequential or punitive damages arising out of your access to and use of the website or downloading from and/or printing material downloaded from www.heinzgoldenkeystone.com or any other website associated with this contest. Without limiting the foregoing, everything on the on the website is provided "as is" without warranty of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose or non-infringement some jurisdictions may not allow limitations or exclusion of implied warranties so some of the above limitations or exclusions may not apply to you.
